As Harmony’s primary listing is on the Johannesburg Stock Exchange (JSE) in South Africa, its disclosure practices and policies are guided in the first instance by the South African Companies Act of 1973, the Corporate Laws Amendment Act of 2006 and the new Companies Act of 2008, which came into effect on 1 May 2011, JSE regulations and listings requirements and, in particular, the King Report on Governance for South Africa (King III).
The group also acts in compliance with the other exchanges on which it is listed, as well as the United States Securities and Exchange Commission (SEC) and the Public Company Accounting Reform and Investor Protection Act of 2002 (more commonly known as the Sarbanes-Oxley Act of 2002 (SOx)) as applicable to foreign companies listed in the United States.
